This agreement sets out the terms of an ongoing subscription under which Digital Craft hosts, supports and continuously improves the GamLEARN website and CRM, keeping both live and working for the charity month to month.

01 The Service
An ongoing subscription that keeps the GamLEARN website and CRM live, hosted, supported and continuously improved.
Digital Craft provides GamLEARN with a managed subscription service covering the two systems Digital Craft has built for the charity: the GamLEARN website and the GamLEARN CRM. The subscription keeps both systems hosted, secure, available and maintained, and includes ongoing support, bug fixes and minor improvements as set out in clause 03.
The subscription covers:
- Website — hosting, uptime and ongoing upkeep of the GamLEARN website (gamlearn.org.uk), including content updates and minor changes.
- CRM — hosting, maintenance and support of the GamLEARN CRM, including the case management, membership, referral and supporting tools built for the charity.
- Support & bug fixes — a channel to report issues, and the fixing of any defects so both systems keep working as intended.
- Infrastructure — the hosting, database, authentication, email delivery and supporting services required to run both systems day to day.
The core CRM build is complete as at the date of this agreement, with the final changes delivered. From here, the subscription keeps the CRM and website running, cared for and evolving, rather than being a one-off build handed over and left.
02 Subscription Fee & Minimum Term
£249 per month, with a minimum term of 12 months from the date this agreement is signed.

Payment terms
The subscription fee of £249 per month is paid on the 1st of each month, as it is now, and continues on that basis for the duration of this agreement.
GamLEARN commits to a minimum term of 12 months from the date of signature. The subscription cannot be cancelled during this minimum term; the monthly fee remains payable for the full 12 months. After the minimum term, the subscription continues on a rolling monthly basis as set out in clause 07.
03 Support, Bug Fixes & Additional Work
Bugs and minor tweaks are included. Anything larger is charged at an hourly rate or a fixed price agreed in writing first.
The monthly subscription is designed to keep GamLEARN's website and CRM running smoothly and improving over time. How work is treated depends on its size:

For larger pieces of work, Digital Craft will provide a fixed-price quote in writing before any work begins, and no such work will start until GamLEARN has accepted the quote in writing (email confirmation is fine). Bug fixes and minor tweaks remain included at no additional cost and are never charged as extra.
04 Ownership & Licence
The website and CRM remain the property of Digital Craft. GamLEARN is licensed to use them for as long as the subscription is active.
The GamLEARN website and CRM — including all custom code, designs, database structure and system assets built by Digital Craft — remain the property of Digital Craft. This agreement is a subscription to use and benefit from these systems as a managed, hosted service; it is not a purchase or transfer of the systems themselves.
For as long as the subscription is active and up to date, GamLEARN has a full licence to use both the website and the CRM in the running of the charity, including all of its day-to-day work within them.
GamLEARN's own data — member records, case information, referrals, content and anything else the charity enters into the systems — belongs to GamLEARN. Digital Craft will provide an export of GamLEARN's data to the charity on reasonable request, and in any event on cancellation.
Should GamLEARN ever wish to take full ownership of the website and/or CRM and have them transferred into its own environment to run independently, this can be arranged as a separate, one-off purchase. The cost of such a transfer would be quoted at the time, based on the scale of the systems built and delivered up to that point, and is not included in the monthly subscription.
05 Hosting, Infrastructure & Third-Party Services
Digital Craft provides and manages all the infrastructure needed to run both systems as part of the subscription — with SMS credits, bought in the app, as the one exception.
Digital Craft provides and maintains the hosting, database, authentication, email delivery and supporting third-party services required to operate the GamLEARN website and CRM, at no additional cost beyond the monthly subscription.
The one exception is SMS text-message credits, which are paid for by GamLEARN and purchased directly within the app using its built-in top-up and balance management. SMS pricing reflects the underlying provider rate plus a small administrative margin. All other standard, everyday running of the systems is covered by the subscription.
Where an underlying provider requires GamLEARN to hold an account in its own name, Digital Craft will configure and integrate that account on the charity's behalf but is not the account holder. Any such accounts will be identified to GamLEARN at the point they are needed.
06 Confidentiality & Data Protection
GamLEARN handles sensitive personal information; both parties protect it and comply with UK data protection law.
Both parties agree to keep confidential any non-public information shared in the course of this engagement, including source code, system designs, business information and — in particular — the personal data GamLEARN holds about the people it supports. This obligation survives termination of this agreement.
In relation to personal data held within the CRM, GamLEARN is the data controller and Digital Craft acts as data processor on GamLEARN's behalf. Digital Craft will process that personal data only as needed to provide and support the service, will keep it secure using appropriate technical and organisational measures, and will handle it in accordance with the UK GDPR and the Data Protection Act 2018.
Given the nature of GamLEARN's work supporting people affected by gambling-related harm and the criminal justice system, both parties recognise that much of this data is sensitive, and will treat it with corresponding care.
07 Term, Cancellation & Governing Law
A 12-month minimum term, then rolling monthly with 30 days notice. Governed by the laws of England and Wales.
This agreement begins on the date of signature and runs for a minimum term of 12 months. During the minimum term the subscription cannot be cancelled and the monthly fee remains payable in full.
After the minimum term, the subscription continues automatically on a rolling monthly basis until cancelled by either party giving 30 days written notice (email is acceptable). The subscription fee remains payable up to the end of the notice period.
On cancellation, the hosted service ends and GamLEARN's access to the hosted website and CRM ends with it. Digital Craft will provide GamLEARN with an export of its data. The website and CRM themselves remain the property of Digital Craft as set out in clause 04; taking ownership of the systems is available only as a separate purchase, quoted at the time. Non-payment of the subscription may result in suspension of the service after reasonable notice.
This agreement is governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales for any dispute arising from it.
